1: Parties & Agreement
This agreement is between Pinch Agency Ltd, Registered No. 14234561, with its office at Room 2, 583 Barlow Moor Road, Manchester, Lancashire M21 8AE, and the business specified in the quote as “CLIENT.” Both parties agree that, unless otherwise specified, the following terms and conditions apply to the service or project outlined in this document. Any changes to these terms must be documented in the notes section of the quote or submitted in writing via email, with acknowledgement from the other party.
2: Scope of Work
Pinch Agency Ltd provides a quote based on discussions and requirements for the project named in this document. The quote is itemised by service (also referred to as a milestone), with each service allocated an estimated time sufficient to complete the specified tasks. Any additions, modifications, or enhancements to the original scope, or requests for work outside the agreed milestones, will be treated as additional work and may incur additional charges.
3: Changes to the Scope
Any additional functions or features introduced after the initial scope that impact design or development time may incur additional charges. Scope changes will be reviewed on a case-by-case basis and will require approval before work proceeds.
4: Time & Rates
Pinch Agency Ltd quotes based on the estimated time required for each service or milestone, with rates varying by service type and expertise level:
- Bespoke PHP Development: £58 per hour | Advanced PHP development by our Senior Developer, experienced in custom development / ORM systems and React.JS.
- General & CMS Development: £50 per hour | Covers WordPress, Shopify, email development, front-end work, and other general development tasks.
- Website / Graphic Design & Illustration: £50 per hour | Includes website design, UI/UX, graphic design, branding, and illustration.
- Supporting Services: £45 per hour | Encompasses content population, technical SEO, Google Analytics support, project management, and other assistance.
Surcharges:
- Extended Payment Terms: For payment terms of 30 days or longer, a 10% increase will be applied to the base hourly rate.
- Urgent Work: For any work that must be actioned or started within 48 hours, a 25% surcharge will apply to the hourly rate.
- Out-of-Hours Work: For work requiring action or response outside of standard business hours (9 a.m. to 5 p.m., Monday to Friday), an additional surcharge of 25% will apply.
Rates, estimated times, and applicable surcharges are specified in the project quote per milestone. Additional time beyond the estimate may be required at Pinch Agency Ltd’s discretion to complete tasks per project scope and guidelines. Any work outside the original scope may incur additional charges.
5: Deadlines & Timelines
Pinch Agency Ltd will make every effort to meet agreed deadlines but cannot be held responsible for delays caused by factors outside of its control, including issues with resources or personnel outside the Pinch Agency team.
6: Project Revisions & Amendments
For fixed-price projects, Pinch Agency Ltd allocates up to 15% of the total quoted time for project amendments. This typically covers one primary round of revisions and a final snagging round for minor adjustments. This allocation ensures that revisions remain within the agreed scope and timeline.
For billable or hourly projects, there are no fixed limits on the number of revision rounds; amendments will be addressed as needed, with all time spent billed at the agreed hourly rate.
Guidelines for Revisions:
- Scope Alignment: Revisions are intended to refine the project within the agreed scope. Requests introducing new features, functionalities, or substantial changes outside the original scope may be treated as additional work and may incur extra charges.
- Consolidated Feedback: To maximise efficiency, clients are encouraged to provide clear and consolidated feedback within each round. Fragmented or piecemeal feedback may impact the project timeline and could require additional time.
Pinch Agency Ltd strives to be flexible; however, any additional revisions beyond the allocated 15% time for fixed-price projects or repeated changes to the same elements may be treated as out-of-scope work and billed at the standard hourly rate.
7: Ownership of Assets & Intellectual Property
All assets and intellectual property (IP) created by Pinch Agency Ltd remain the property of Pinch until the project is completed and fully paid for. Upon receiving final payment, ownership is automatically transferred to the client.
8: Browser Compatibility
Pinch Agency Ltd designs and develops websites to function with the latest and one previous version of major browsers (e.g., Firefox, Microsoft Edge, Google Chrome). Compatibility with older versions or new versions released post-project completion may require additional adjustments and charges.
9: Code Quality, Compliance & Optimisation
Pinch Agency Ltd aims to produce optimised, high-quality code. If specific standards are required (e.g., W3C compliance or a specific Google PageSpeed score), these must be agreed upon before accepting the quote. Additional development time and costs may be necessary to meet these standards, depending on project requirements.
10: Termination
Both parties may terminate the agreement with written notice. Termination by the client after project commencement may incur a termination fee equal to the time spent on the project up to the termination date, based on the hourly rate specified in this document. Ownership of assets and IP will transfer as outlined in Section 7. If terminated prematurely, additional work outside the original scope may be subject to further charges.
11: Payment Terms & Invoicing
Payment terms are specified in the quote. Invoices are due within 7 days unless otherwise agreed. For payment terms of 30 days or longer, a 10% surcharge will apply to the base rate as outlined in Section 4. Late payments will incur a fee of 2% per month. If payment is delayed beyond 60 days, we reserve the right to pause or terminate the project.
If a project stage is delayed for over 3 months due to reasons outside Pinch Agency Ltd’s control, we reserve the right to invoice for that stage’s balance. If further delays impact subsequent stages, a long-term solution, including possible project termination, will be discussed in line with Section 10.
12: Liability & Warranty Disclaimer
Pinch Agency Ltd makes no guarantees regarding the absolute error-free functionality of the final product and is not liable for any indirect, incidental, or consequential damages that may arise from the use of the website. Although we strive for excellence, any specific performance benchmarks or browser compatibility requirements must be specified and agreed upon before project commencement.
13: Data Protection & Confidentiality
Pinch Agency Ltd agrees to maintain the confidentiality of all client data and information provided during the project. We comply with relevant data protection regulations and will not share client information with third parties without explicit consent.
